By accessing our Website or engaging our services, you confirm that you are at least 18 years old, have the authority to enter into a legally binding agreement, and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Our Services
Prime Local SEO provides digital marketing services with a focus on local search engine optimisation ("Local SEO"), including but not limited to:
- Google Business Profile optimisation and management
- Local citation building and directory management (NAP syncing)
- Geo-targeted content creation and landing page development
- Review generation and reputation management
- Local authority link building
- Rank tracking, call tracking, and performance reporting
- Free Local SEO Audit reports
2.1 Service Scope
The exact scope of services shall be agreed in a separate Service Agreement or Statement of Work ("SOW") prior to commencement. Nothing on this Website constitutes a guarantee of specific ranking positions, traffic volumes, or revenue outcomes. Search engine algorithms change frequently and results may vary.
2.2 Exclusivity
We operate a one-client-per-industry-per-city policy to prevent conflicts of interest. By engaging our services, you acknowledge this policy and agree not to misrepresent your industry or service area during onboarding.
2.3 Client Obligations
You agree to provide timely access to Google Business Profile accounts, website logins, and any other platforms required to deliver the agreed services. Delays caused by failure to provide access may affect timelines and results and shall not constitute a breach by us.
3. Payment Terms
Our services are offered on a rolling monthly basis unless otherwise agreed in writing.
- Invoices are issued at the beginning of each calendar month and are payable within 14 days of issue
- All prices are quoted exclusive of VAT unless stated otherwise
- Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998
- Prices are reviewed annually and clients will receive 30 days' written notice of any price change
3.1 Cancellation
Either party may terminate services with 30 days' written notice. Fees already paid are non-refundable for work completed within a billing period. No exit fees or penalties apply.
Note: Free audit reports provided via our website do not constitute a contractual engagement. A signed Service Agreement is required before any paid work commences.
4. Intellectual Property
All content on this Website — including text, graphics, logos, and code — is owned by or licensed to Prime Local SEO and is protected by UK copyright law.
4.1 Work Product
Upon receipt of full payment, all deliverables created specifically for you (including written content, landing pages, and reports) become your property. We retain the right to reference work completed for you in our portfolio and case studies, unless you request otherwise in writing.
4.2 Restrictions
You may not reproduce, distribute, or commercially exploit any material from this Website without our prior written consent. You may not reverse-engineer, decompile, or otherwise attempt to extract our processes, methodologies, or proprietary systems.
5. Limitation of Liability
To the maximum extent permitted by English law, Prime Local SEO shall not be liable for:
- Loss of profits, revenue, business, or anticipated savings
- Loss of or damage to data, or interruption to business
- Indirect, special, or consequential losses of any kind
- Ranking changes caused by Google algorithm updates outside our control
- Third-party platform downtime, policy changes, or suspensions (including Google)
Our total aggregate liability to you shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
6. Termination
We reserve the right to suspend or terminate services immediately and without notice if:
- You breach these Terms or the Service Agreement materially
- Any invoice remains unpaid for more than 30 days after its due date
- You become insolvent or enter into any form of administration or liquidation
- You use our services for unlawful, fraudulent, or abusive purposes
Upon termination, you must immediately cease using any access credentials or tools provided by us. All outstanding fees for work completed become immediately due and payable.
7. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms or your use of our services shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of at least 30 days.
8. Changes to These Terms
We may update these Terms from time to time. We will notify existing clients of material changes by email at least 14 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
